Terms of Service

Conditions of use for sensytec.com and the SensyHub platform.

Effective date: April 30, 2026

These Terms of Service ("Terms") govern your access to and use of the website at sensytec.com, the SensyHub cloud platform, and any related services or content provided by Sensytec, Inc. ("Sensytec," "we," "us," or "our"). By using the Site or services, you agree to these Terms. If you do not agree, do not use the Site or services.

1. Scope of These Terms

These Terms cover use of the Site (sensytec.com) and the SensyHub web platform (sensyhub.sensytec.com). Purchase and use of Sensytec hardware sensors, paid services, and SensyHub subscriptions are governed by separate written agreements such as a Master Services Agreement, Purchase Order, or Order Form. Where those separate agreements conflict with these Terms, the separate agreements control for the matter in question.

2. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use the Site or services. By using the Site, you represent that you meet these requirements. Sensytec services are intended for business and professional use, not for consumer use.

3. Account Registration

Some features (including the SensyHub platform) require an account. You agree to provide accurate, complete, and current information when registering, to keep your credentials confidential, and to notify us promptly of unauthorized use. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or any applicable agreement.

4. Acceptable Use

You agree not to:

  • Use the Site or services in any unlawful manner or for any unlawful purpose
  • Reverse engineer, decompile, or attempt to extract source code from any Sensytec software, firmware, or platform
  • Interfere with, disrupt, or attempt to gain unauthorized access to any part of the Site, services, or supporting infrastructure
  • Scrape, harvest, or collect data from the Site or platform other than as expressly permitted
  • Use the Site or services to transmit malware, harmful code, or spam
  • Misrepresent your identity or affiliation
  • Resell, redistribute, or commercially exploit content from the Site without our written permission

5. Intellectual Property

The Site, the SensyHub platform, and all associated content (including text, graphics, logos, images, software, sensor designs, and documentation) are owned by or licensed to Sensytec and are protected by US and international copyright, trademark, patent, and trade secret laws.

"Sensytec," "SensyCast," "SensyCure," "SensyRoc," "SensyHub," and the Sensytec logo are trademarks of Sensytec, Inc. Other names and logos appearing on the Site may be trademarks of their respective owners. Nothing in these Terms grants you any license to use Sensytec trademarks or content beyond viewing the Site for your personal or business reference.

6. User Submissions

If you submit information or content through forms, contact requests, support tickets, or otherwise (collectively, "Submissions"), you grant Sensytec a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display the Submission for the purpose of operating, providing, and improving our services and responding to your inquiry. You represent that you have the right to submit the content and that it does not violate any third-party rights.

7. Customer Data on SensyHub

If you use the SensyHub platform under a customer agreement, you retain all rights in the data you upload or generate on the platform ("Customer Data"). Sensytec processes Customer Data only as necessary to deliver the services and as described in your customer agreement and our Privacy Policy. Sensytec does not claim ownership of Customer Data.

8. SMS / Text Messaging Program

Sensytec offers an opt-in text messaging (SMS) program for transactional and operational notifications, and, where you have separately consented, marketing communications. By providing your mobile phone number through a Sensytec form, account registration, or other opt-in mechanism, you agree to the following:

  • Program description. Sensytec may send you text messages including (but not limited to) account verification codes, sensor threshold alerts, project notifications, support replies, and, if you have opted in, product updates and promotional content.
  • Message frequency. Frequency varies based on your account activity and preferences.
  • Message and data rates. Standard message and data rates may apply per your mobile carrier plan. Sensytec is not responsible for carrier charges.
  • Help. Reply HELP to any message, or contact info@sensytec.com for assistance.
  • Opt-out. Reply STOP to any message at any time to unsubscribe from the program. You will receive a confirmation message and no further texts unless you re-enroll.
  • Carriers. Carriers are not liable for delayed or undelivered messages.
  • Eligibility. The SMS program is available to mobile subscribers of supported US carriers. International messaging is not currently supported.
  • Privacy. Information collected through the SMS program is handled according to our Privacy Policy. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.

9. Third-Party Services and Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Sensytec. We do not endorse and are not responsible for the content, policies, or practices of any third party. Your use of third-party sites is at your own risk and subject to their terms.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SENSYTEC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SENSYTEC DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION ACCESSED THROUGH THE SITE WILL BE ACCURATE, COMPLETE, OR CURRENT.

Sensytec sensors, software outputs, and SensyHub strength estimates are tools that support engineering decisions. They do not replace independent professional judgment. Sensor accuracy depends on proper installation, calibration, and use in accordance with documentation. Final responsibility for engineering decisions rests with the qualified engineer of record.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENSYTEC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SENSYTEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SENSYTEC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS (US$100). The foregoing limitations apply notwithstanding the failure of essential purpose of any limited remedy.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sensytec and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site or services, or your infringement of any third-party right.

13. Termination

We may suspend or terminate your access to the Site or services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to These Terms

We may update these Terms from time to time. The "Effective date" at the top reflects the most recent revision. Material changes will be communicated through the Site or by email where appropriate. Your continued use of the Site after a change constitutes acceptance of the updated Terms.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Sensytec's failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with any separate written agreements between you and Sensytec, constitute the entire agreement between us regarding the Site and services.
